Restructuring Support Agreements

Restructuring Support Agreements (RSAs) are used to document support for a company’s proposed restructuring plan. This course discusses what’s in an RSA and how they’re used. It also walks through a sample RSA to explain their key provisions.

During the Session

Part 1: Knowledge Check

Ask attendees these questions to ensure they understand the topic:

Why do RSAs usually include a super majority of certain creditor groups?
Why might creditors want certain equity holders to be parties to an RSA?
What are examples of common termination events and which parties usually have the right to terminate if those events occur?
When the debtor is a public company, how and why would they be required to “cleanse” material nonpublic information?
What remedies are and aren’t usually available under an RSA?

Part 2: Group Exercise

Lead a group discussion based on the exercise. To encourage collaboration, divide the attendees into groups to discuss the exercise, then have a representative from each group summarize their views to the larger group. Call on people to share their thoughts and ask others to respond.

Tip for remote sessions: use your web conferencing system’s breakout room feature to divide people into groups.
